PUBLIC CONTRACT for Services

Individual entrepreneur Tsarenko Inna Volodymyrivna(tax ID: 3436007148) (hereinafter – "Service Provider"), guided by the Civil Code of Ukraine (hereinafter – CCU), other legislative and subordinate regulatory acts in the field of business activity, offers individuals (hereinafter – "User") to receive online services provided by this Contract. This Contract is public in accordance with Articles 633, 641 of the Civil Code of Ukraine, its terms are the same for all Users, unconditional acceptance of which is considered acceptance of this offer by the User, for which the Service Provider publishes this Contract as follows:
1. GENERAL PROVISIONS
BASIC CONCEPTS AND DEFINITIONS
1.1. Public Contract – this transaction for the provision and receipt of online services, which establishes the same conditions for all Users for the provision of these services under the terms of a public offer from the moment of its acceptance by the User (hereinafter – "Contract").
1.2. Public Offer – a proposal by the Service Provider, addressed to any individual, in accordance with Article 641 of the Civil Code of Ukraine, to conclude a contract with him, contained in the public offer.
1.3. Acceptance – the User's provision of a complete and unconditional response to the Service Provider to his proposal to conclude a Contract under the terms defined by the public offer, in a manner provided by this Contract, which indicates his acceptance of the public offer.
1.4. User – an individual who has concluded this Contract with the Service Provider.
1.5. Website – the Service Provider's website on the Internet, located at: https://www.subtie.com/ (hereinafter – Subtie or Subtie service or Service) and/or Subtie application.
1.6. Party – Service Provider or User – depending on the context.
1.7. Parties – Service Provider and User.
1.8. Services – within the meaning of this contract – online services for learning foreign languages, by providing the User with access to the Subtie service.
2. SUBJECT OF THE CONTRACT
2.1. The Service Provider provides the User with services under the terms set out in this Contract.
2.2. Use of Subtie service services is governed by this Contract and Privacy Policy. The terms of use of Subtie may be changed by the Service Provider unilaterally without notifying Users, and come into force from the moment of posting the updated rules on the Service Provider's website.
2.3. The Service Provider provides the User with online services for learning foreign languages, by providing the User with access to the Subtie service, which facilitates their learning as a result of using specialized services and tools available to the User in Subtie.
3. ACCEPTANCE OF THE CONTRACT
3.1. Procedure for concluding the Contract and its acceptance:
3.1.1. In order to receive services, the User registers in the Subtie service by creating an account. For this, the User registers on the website at: https://www.subtie.com/. From the moment of completion of registration, the User is considered to have accepted this offer and concluded this Contract with the Service Provider under the terms set out in this public offer.
3.1.2. By registering in the Subtie service or using the Subtie service in any way, the User agrees and accepts the provisions of this Contract in full.
3.1.3. During registration, the User fills in the required fields with personal data (name, email address) and specifies a password. Additional optional information (such as phone number) may be provided at the User's discretion. The User is responsible for the accuracy of the data specified during registration.
3.1.4. The User undertakes not to transfer his login and password to third parties and to take all possible measures to prevent their disclosure.
3.1.5. The Service Provider informs the User that registration of multiple accounts for the purpose of circumventing subscription limits is prohibited.
4. GENERAL PROVISIONS
4.1. Each Party guarantees to the other Party that it has the necessary legal capacity and legal capacity, as well as all rights and powers necessary and sufficient for the conclusion and performance of this Contract in accordance with its terms.
4.2. All terms of the Contract set out in this Public Offer are binding on the Parties.
4.6. The Service Provider independently has the right to change the terms of the Contract without prior notice to Users. Such changes come into force from the moment of posting the updated text of the Contract on the Service Provider's website.
5. USER ACCOUNT
5.1. After passing the registration procedure, a personal account is automatically created for the User.
5.2. During registration, the User specifies his email address, which will subsequently be used as a login, and a personal password for access to the service.
5.4. The User has the right to delete his account at any time. The Service Provider may delete the User's account at any time in case of violation by the User of the terms of this Contract.
6. DISCLAIMERS AND ILLEGAL CONTENT
6.1. The User confirms that he is warned and undertakes not to upload files to his account that violate the legislation of Ukraine and/or the user's country.
6.3. The Service Provider does not work with Users from the Russian Federation. The Service Provider prohibits registration, restricts access to the use of the service and does not provide technical support to Users from the Russian Federation.
7. RIGHTS AND OBLIGATIONS OF THE PARTIES
7.1. The Service Provider has the right to:
- Based on the e-mail received from the User, carry out mass mailing of informational messages
- Involve third parties in the provision of the Service
- Unilaterally make changes to the terms of this Contract
- Without warning Users, make changes to the interface and functionality of the Subtie service
- Unilaterally terminate this Contract by notifying the User of this no less than 15 calendar days in advance
8. COST OF SERVICES AND PAYMENT PROCEDURE
8.1. The Service Provider offers Users various subscription plans with different features and pricing. Detailed information about available plans, their features, and current pricing is available on the Service Provider's website at https://www.subtie.com/about.
8.2. The User has the right and opportunity to change their subscription plan at any time through their account settings.
8.3. Pricing and Plan Changes:
- The Service Provider reserves the right to change pricing for any tariff plan, add new plans, modify existing plans, or discontinue plans at any time without prior notice to Users
- For Users with active subscriptions, pricing changes will take effect from the next billing cycle
- If the User's current plan is discontinued, the Service Provider may migrate the User to a comparable plan or terminate the subscription with at least 15 days advance notice
- Current pricing information is available on the Service Provider's website and may be updated at any time
8.4. Automatic Renewal and Billing:
- Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled by the User before the renewal date
- Billing: Your payment method will be automatically charged at the start of each billing cycle
- Price Changes: You will be notified of any price changes at least 7 days before your next billing cycle. The new price will apply from the next renewal
- Payment Methods: The Service Provider accepts payment via authorized payment processors (e.g., WayForPay). All prices are in the currency specified on the pricing page
8.5. Subscription Cancellation:
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of the current billing cycle – you will retain access until then
- After cancellation, you will be downgraded to the free plan
- No refunds will be provided for partial billing periods
8.6. Failed Payments and Suspension:
- If a payment fails, we will attempt to charge your payment method up to 3 times over 7 days
- Your subscription will be suspended if all payment attempts fail, and you will lose access to paid features
- After 30 days of failed payment, your subscription will be automatically cancelled
- You may update your payment method at any time through your account settings to restore service
8.7. Service Provider Rights:
- The Service Provider may terminate or modify any subscription at its discretion with 15 days advance notice
- Subscriptions continue until cancelled by the User or terminated by the Service Provider
8.8. Refund Policy: In case of termination of the Contract at the initiative of the User and/or the Service Provider, unused funds of the selected tariff plan are not refunded, except as outlined in our Refund Policy.
9. SERVICE AVAILABILITY AND WARRANTIES
9.1. The Service is provided "as is" and "as available". The Service Provider does not guarantee uninterrupted, secure, or error-free operation of the Service.
9.2. The Service Provider is not liable for:
- Temporary service interruptions, downtime, or technical issues
- Loss of data, content, or learning progress due to technical failures
- Incompatibility with User's devices or software
- Third-party service failures (payment processors, hosting providers, etc.)
- Any direct or indirect damages arising from use or inability to use the Service
9.3. The Service Provider makes reasonable efforts to maintain service availability but does not guarantee any specific uptime percentage.
9.4. Service interruptions due to maintenance, updates, force majeure, or other circumstances do not constitute a breach of contract and do not entitle the User to refunds or compensation.
10. LIABILITY AND DISPUTE RESOLUTION
10.1. For non-fulfillment of their obligations under this Contract and/or violation of its terms, the Parties bear the responsibility provided by this Contract and current legislation.
10.2. The Service Provider's total liability to the User shall not exceed the amount actually paid by the User for the Service in the 30 days preceding the claim.
10.10. All disputes arising from this Contract or related to it are resolved through negotiations between the Service Provider and the User. If the relevant dispute cannot be resolved through negotiations, it is resolved by the court – in accordance with the current legislation of Ukraine.
11. FORCE MAJEURE CIRCUMSTANCES
11.1. Force majeure circumstances in this Contract are understood as extraordinary and inevitable circumstances that objectively make it impossible to fulfill the obligations provided by the terms of the contract.
11.2. Force majeure events include but are not limited to: war, military operations, mobilization, armed conflicts, natural disasters, epidemics, pandemics, government restrictions, power outages, internet infrastructure failures, cyber attacks, acts of terrorism, and other circumstances beyond the Service Provider's reasonable control.
11.3. The Party affected by force majeure shall notify the other Party as soon as reasonably possible and shall be relieved from liability for non-performance during the period of force majeure.
12. TERM OF THE CONTRACT
12.1. The Contract is public and indefinite and is valid until its termination by either Party in the manner established by this Contract or current legislation.
13. INTELLECTUAL PROPERTY AND CONTENT
13.1. Service Ownership: All intellectual property rights in the Subtie service, including but not limited to software, design, trademarks, logos, and documentation, belong to the Service Provider or its licensors.
13.2. User Content: You retain all ownership rights to the content you upload to the Service (books, flashcards, text, etc.). By uploading content, you grant the Service Provider a non-exclusive, worldwide, royalty-free license to store, process, and display your content solely for the purpose of providing the Service to you.
13.3. Copyright Compliance: You represent and warrant that you own or have the necessary rights to all content you upload. You must not upload copyrighted material without authorization. The Service Provider reserves the right to remove content that infringes intellectual property rights.
13.4. AI-Generated Content: Content generated by AI features (translations, suggestions, etc.) is provided for educational purposes and may be used by you for personal learning within the Service.
14. USER OBLIGATIONS AND PROHIBITED USE
14.1. You agree not to:
- Violate any applicable laws or regulations, including copyright and intellectual property laws
- Upload malicious code, viruses, malware, or any harmful content
- Attempt to gain unauthorized access to the Service, other user accounts, or computer systems
- Engage in any activity that disrupts or interferes with the Service (DDoS attacks, hacking, exploitation)
- Use the Service for spam, harassment, or abusive behavior toward other users or the Service Provider
- Impersonate any person or entity, or falsely represent your affiliation
- Share, sell, or transfer your account to another person
- Use automated tools, bots, or scripts to access the Service without authorization
- Attempt to reverse engineer, decompile, or extract source code from the Service
- Use the Service for any commercial purpose without written permission
14.2. Violation of these prohibitions may result in immediate account termination without refund and potential legal action.
15. AGE RESTRICTIONS
15.1. The Service is intended for users aged 16 years or older. By using the Service, you confirm that you are at least 16 years old or have reached the age of legal capacity in your jurisdiction, whichever is higher.
15.2. If we discover that a user is under the minimum age, we will immediately terminate their account and delete all personal data in accordance with applicable privacy laws.
15.3. Parents or guardians may not register accounts on behalf of minors under 16 years old.
16. ACCOUNT TERMINATION AND DATA DELETION
16.1. User-Initiated Termination: You may delete your account at any time through your account settings. Upon deletion:
- Your access to the Service will be immediately revoked
- Your personal data will be permanently deleted within 30 days
- Your uploaded content (books, flashcards) will be deleted
- No refunds will be provided for active subscriptions
16.2. Service Provider Termination: The Service Provider may terminate your account immediately without notice if you violate this Contract, particularly the prohibited use provisions in Section 14.
16.3. Data Retention After Deletion: Some data may be retained for legal compliance purposes (payment records, support tickets) for up to 3 years as required by Ukrainian law.
16.4. Inactive Accounts: Accounts inactive for 6 months or more may be subject to deletion at the Service Provider's discretion, with 30 days advance notice via email.
17. OTHER CONDITIONS
17.1. All business information between the Service Provider and the User is considered confidential. By accepting this Contract, the User gives permission to collect and process his personal data.
18. GOVERNING LAW AND JURISDICTION
18.1. This Contract is governed by and construed in accordance with the laws of Ukraine, specifically:
- Civil Code of Ukraine (Articles 633, 641)
- Law of Ukraine "On Consumer Protection"
- Law of Ukraine "On Electronic Commerce"
- Law of Ukraine "On Protection of Personal Data"
18.2. Any disputes arising from or relating to this Contract shall be resolved in accordance with the current legislation of Ukraine. The exclusive jurisdiction for resolving disputes shall be the courts of Ukraine, at the location of the Service Provider unless otherwise required by mandatory consumer protection laws.
19. SEVERABILITY, WAIVER, AND ASSIGNMENT
19.1. Severability: If any provision of this Contract is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, shall be severed from this Contract. The remaining provisions shall continue in full force and effect.
19.2. Waiver: The failure of the Service Provider to enforce any right or provision of this Contract shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Service Provider.
19.3. Assignment: The Service Provider may transfer or assign its rights and obligations under this Contract to a third party (including in connection with a merger, acquisition, or sale of assets) without your consent, provided that the terms of service remain substantially similar. You may not transfer or assign your rights or obligations under this Contract without prior written consent from the Service Provider.
19.4. Entire Agreement: This Contract, together with the Privacy Policy and Refund Policy, constitutes the entire agreement between you and the Service Provider and supersedes all prior agreements, understandings, and communications.
20. FINAL PROVISIONS
20.1. The Service Provider confirms that it is a single tax payer (Group 3, 5%).
20.2. This Contract is public in accordance with Articles 633, 641 of the Civil Code of Ukraine – and its terms are the same for all Users.
20.3. The Service Provider reserves the right to update or modify this Contract at any time. Changes become effective immediately upon posting the updated Contract on the website. Your continued use of the Service after changes constitutes acceptance of the revised terms.
